Paneling over old panel?

Hi, is it a bad idea to install horizontal paneling over existing vertical paneling? Thinking that it would create an air gap, right?

If the standing one is starting to get old, rotten? Then switch to the same. Complicated and expensive to seek building permission for panel replacement.
