Should I replace the panel. I started tearing down now and saw that there is panel directly attached to the asphalt board (if that's what it is?). Should I batten out 45mm and attach the panel to the new one?

It sits quite protected under the eaves, so it will be fine anyway. If it looks okay underneath today, then it will work.

Why as much as 45 mm?
Use the panel that is best for battens and creating an air gap.
At my place, the panel was directly against the asfaboard, which wasn't completely good.

Have done so..there is a column at least under it..since I placed everything above old panel.

I was thinking of setting a 45mm to come out a bit from the house. There's such a large flashing there now.

What type of air gap should be behind the boards? I'm just going to add an air gap and then the new panel.
 
No air gap behind the board.
