Old ceiling panel stay or tear down???

Going to replace the ceiling but believe it is crooked and wavy.
If you now want to measure and see if it's crooked and wavy, is it easiest with a laser measurer or just leave everything as is and frame up new under the old and go from there? Was thinking of having painted white wood paneling as the new ceiling.

Since it is an intermediate floor and you don't risk puncturing any differential lock, I would clearly tear down the ceiling; I always strive to leave as little old junk as possible.

That it is wavy can be the treetex hanging down in waves, the wooden ceiling might be straighter.
